What a good deal room looks like.
Five minutes, six qualities. Compare your document room against them honestly — and if it falls short, you now know exactly what to ask for.
1 · Naming you can search
Every file's name tells you what it is, whose it is and when it is from — before opening it. "Agreement_Signed_FINAL(2)" fails this test; "2026-09-14_MSA_Acme_v3_signed" passes it.
2 · An index that lives
A single list of everything in the room, kept current as documents arrive. If finding out what exists requires asking a person, the room does not have an index — it has archaeology.
3 · Version discipline
One current version, plainly marked; superseded drafts kept out of the way, not deleted. Nobody should discover at a bad moment that they marked up the wrong draft.
4 · Structure that mirrors the deal
Folders that follow the transaction — corporate, financial, legal, commercial — the way diligence teams and lenders actually ask. If newcomers need a guided tour to navigate, the structure is for its maker, not its users.
5 · Access with intent
Each person sees exactly what they should — no more, no less — and that mapping is deliberate, recorded and revisited as the deal evolves. Access granted casually is the most common quiet leak.
6 · A review rhythm
Someone looks at the room regularly: gaps flagged, stragglers chased, request lists matched to responses. Rooms do not stay good on their own — they stay good because a person keeps them that way.

- Open your room. Can you tell what is current in ten seconds?
- Pick a random file. Does its name explain itself?
- Ask when the index was last updated. Is there an index?
- Check who has access. Is every name deliberate?
